1. About SGAOptions Trader
SGAOptions Trader (the “Service”) is operated by Visionkraft Consulting (“we,” “us,” “our”). The Service mirrors options trades placed in an operator-controlled lead brokerage account into brokerage accounts that authenticated users connect via OAuth 2.0. The Service is currently offered only to a limited group of friends, family, and beta testers. Access is by manual approval at our sole discretion.
2. Eligibility & Authorization
You must be at least 18 years of age and legally capable of entering into a binding agreement. By connecting a brokerage account through the Service, you represent that:
- You are the lawful owner of the brokerage account you connect.
- You have the authority to authorize the Service to place orders in that account.
- You understand the Service will place trades in your account at your direction and based on the operator's lead account activity.
- You have read, understand, and accept the risks described in Section 5.
3. Not Investment Advice
The Service does not provide personalized investment advice. Trades mirrored from the operator's lead account reflect the operator's personal trading decisions. They are not tailored to your specific financial situation, risk tolerance, investment objectives, or tax circumstances. The operator is not registered as an investment adviser, broker-dealer, financial planner, or tax adviser. Nothing communicated through the Service should be construed as a recommendation to buy, sell, or hold any security.
You are solely responsible for evaluating whether any mirrored trade is suitable for you, your account, and your financial situation. Past performance of the lead account is not indicative of future results.
4. Trade Mirroring Authorization
By connecting an Alpaca brokerage account and explicitly enabling copy trading on the Connections page, you grant the Service authority to:
- Read your account balances, positions, order history, and account status.
- Place option spread, iron condor, single-leg option, and equity orders that mirror orders placed by the operator's lead account, sized automatically based on your account equity.
- Cancel and close mirrored positions in response to the lead's exits.
Paper-only by default. Connections to live (real-money) Alpaca accounts are disabled at the application layer. Live trading on a connected account requires a separate per-user enablement by the operator and additional written acknowledgement.
You may revoke this authorization at any time by disconnecting the broker on the Connections page or by revoking the OAuth grant directly with Alpaca. Revocation takes effect immediately and stops further mirroring.
5. Risk Disclosure
Trading options carries substantial risk of loss and is not suitable for every investor. Multi-leg option strategies, including credit spreads and iron condors, can lose more than the initial credit collected. The maximum loss on a defined-risk spread is the spread width minus the credit received, multiplied by 100 per contract, multiplied by the number of contracts. You can lose 100% of capital allocated to a position.
Specific risks of using the Service include, without limitation:
- Execution risk: mirrored orders may fill at materially different prices than the lead order due to latency, market depth differences, or routing differences.
- Sizing risk: automatic sizing based on your account equity may produce quantities that, in unfavorable conditions, exceed the buying power, margin, or risk tolerance you intended.
- Operator risk:the lead account's strategy may change, perform poorly, or experience prolonged drawdowns. The operator is under no obligation to continue trading or to maintain any particular style.
- Service risk: the Service may be unavailable, delayed, or fail entirely. We do not guarantee uptime, fill quality, or accuracy of mirrored trades.
- Token risk: if your Alpaca OAuth token is revoked, expires, or becomes invalid, copying will stop for your account without notice. You are responsible for monitoring your account.
- Account-level risks at the broker: margin calls, pattern day trading restrictions, exercise/assignment of options, early assignment, and corporate actions are governed by your brokerage agreement with Alpaca, not by us.
You acknowledge that you may lose all funds in any account you connect. Do not connect funds you cannot afford to lose.
6. No Guarantee; Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR THAT THE SERVICE WILL OPERATE UNINTERRUPTED OR ERROR-FREE. We do not warrant that mirrored trades will be profitable or will execute as expected.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VISIONKRAFT CONSULTING, ITS PRINCIPALS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, TRADING LOSSES, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE GREATER OF (a) ONE HUNDRED U.S. DOLLARS ($100) OR (b) THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify and hold harmless Visionkraft Consulting, its principals, employees, and agents from any claim, demand, or damages arising out of (a) your use of the Service, (b) trades placed in your brokerage account, (c) your breach of these Terms, or (d) your violation of any law or third-party right.
9. No Fiduciary Duty
Nothing in your use of the Service creates a fiduciary, advisory, brokerage, or agency relationship between you and Visionkraft Consulting. We do not exercise discretionary authority over your account beyond placing orders that mirror the operator's lead account, as you have specifically authorized.
10. Tax
All trades placed in your brokerage account are reported to you and to the IRS by your broker on Form 1099-B. You are solely responsible for any tax consequences, including short-term capital gains, wash sales, and Section 1256 contracts where applicable. We do not provide tax advice.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including breach of these Terms or any sign of unauthorized use. You may stop using the Service at any time by disconnecting all broker connections and discontinuing access.
12. Changes to These Terms
We may update these Terms. The current version is shown by its effective date and version string at the top of this page. Material changes will require you to re-accept the updated Terms before continuing to use the Service.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered in Houston, Texas, on an individual basis. You waive any right to participate in a class action.
